2. The total amount of foreign investment this time is 10 million yuan. According to the relevant provisions of the “Articles of Association” and the “Significant Investment Management System”, this issue of external investment need not be submitted to the general meeting of shareholders for consideration.

3. This external investment event does not constitute a related party transaction and does not constitute a major asset reorganization as stipulated in the Administrative Measures for Major Asset Restructuring of Listed Companies.

Second, the basic situation of investing in establishing a subsidiary

1. Company name: Shannan Jiumu Wang Trading Co., Ltd.;

2. Registered capital: 10 million yuan;

3, the nature of the company: limited liability company (foreign-funded enterprise legal person sole proprietorship);

4. Registration: Shannan Hotel;

5. Business scope: wholesale and retail of clothing and apparel.

If the above registration is inconsistent with the business registration, the business registration shall prevail.

Third, the purpose of establishing a subsidiary and the impact on the company

1. By establishing subsidiaries in the Shannan area, the company can better develop and manage related business in the Tibet Autonomous Region, expand its marketing network, and seek higher investment returns for the company and shareholders;
